1. Introduction & Acceptance

Welcome to Tasflex (“we,” “our,” “us”). These Terms and Conditions govern your use of our services and website tasflex.co.ke.

By accessing our website, purchasing our services (including Web Design packages, Digital Marketing retainers, or Creative Services), or communicating with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these terms, please do not use our services.


2. Definitions

For the purpose of these Terms:

“Commencement Date”The date when the client makes the initial deposit payment
“Delivery Date”The date when the completed project is handed over to the client

4. Pricing & Payment Terms

4.1 Pricing Structure

4.2 Payment Terms

  • Deposit: 50% non-refundable deposit required to commence any project
  • Balance: 50% due upon completion and before final delivery/live launch
  • Payment Methods: MPESA, bank transfer, or credit card
  • Invoicing: Invoices are sent via email and are due within 7 days

4.3 Late Payments

If payment is not received by the due date:

  • A late fee of 5% per month may be applied to overdue balances
  • Work on the project may be suspended until payment is received
  • Completed work will not be released until full payment is made

4.4 Refund Policy

Due to the custom nature of our services:

  • Deposits are non-refundable once work has commenced
  • No refunds for completed work that meets the project specifications
  • For monthly retainers, no refunds for partial months
  • Exceptions may be made at our sole discretion in extraordinary circumstances

5.2 Additional Development

Any features or functionality not specified in the package will be treated as extras and quoted separately.

5.3 Browser Compatibility

We ensure your website works properly on current versions of major browsers (Chrome, Firefox, Safari, Edge). Legacy browser support may incur additional costs.

6.2 SEO Services

  • Monthly retainers start at KES 15,000/month
  • Scope includes on-page optimization, keyword research, content strategy, and reporting
  • Results typically take 3-6 months to materialize

6.3 Ad Management

  • Ad spend (budget) is separate from management fees
  • We require a minimum ad budget of KES 10,000/month for effective campaigns
  • Performance is not guaranteed as ad platforms are subject to algorithm changes

6.4 Marketing Service Commitments

For monthly retainers:

  • Services commence after first payment
  • Minimum 3-month commitment required for all marketing retainers
  • 30-day written notice required for cancellation
  • Reports provided monthly

7.3 Creative Service Terms

  • Final files delivered upon full payment

8. Client Responsibilities

To ensure project success, the client agrees to:

8.1 Content Provision

  • Provide all necessary content (text, images, logos, brand guidelines) within agreed timelines
  • Delays in content delivery will extend project timelines accordingly
  • We can create content for you (see Creative Services section)

8.2 Timely Feedback

  • Review and provide feedback within agreed timeframes (typically 2-3 business days)
  • Failure to respond within 7 days may result in project being placed on hold

8.3 Access & Cooperation

  • Provide necessary access to existing systems, hosting, domains, or social media accounts
  • Appoint a primary contact for decision-making and approvals
  • Participate in scheduled meetings and calls

8.4 Compliance

  • Ensure all content provided does not infringe on third-party rights
  • Comply with all applicable laws and regulations in your industry
  • Obtain necessary permissions for any third-party materials used

9.2 Timeline Factors

9.3 Delays

We are not liable for delays caused by:

  • Client’s failure to provide content or feedback
  • Third-party service providers
  • Force majeure events
  • Unforeseen technical challenges

10. Revisions & Change Requests

10.2 Scope Changes

Any changes outside the original project scope will be treated as:

  • Additional work quoted separately
  • May extend project timeline
  • Requires written approval before implementation

Examples of scope changes:

  • Adding new pages beyond package limit
  • Adding e-commerce functionality to a non-e-commerce package
  • Significant design direction changes after approval

11. Intellectual Property Rights

11.1 Ownership Upon Full Payment

Upon receipt of full payment, the client owns:

  • The final website design and code (custom-developed elements)
  • Final graphic designs and creative assets created specifically for the project
  • Copyright to the final deliverables

11.2 What We Retain

Tasflex retains the right to:

  • Display the completed work in our portfolio and promotional materials
  • Use underlying frameworks, libraries, and code snippets in future projects
  • Retain ownership of pre-existing materials and tools

11.3 During Development

Until full payment is received:

  • Tasflex retains all rights to the work in progress
  • The website may display “Powered by Tasflex” or similar credits
  • Source files are not released

11.4 Credit & Attribution

We reserve the right to include a discreet credit link in the website footer (e.g., “Website by Tasflex”). Removal of this credit may incur a fee (KES 5,000) if requested.


12. Third-Party Materials

12.1 Stock Assets

If your project includes:

  • Stock photos, videos, or illustrations
  • Premium fonts or icons
  • Third-party plugins or themes

These are licensed, not owned. Licenses may be:

  • Transferred to you (at additional cost)
  • Retained by us (with ongoing use rights for you)

We will advise you on licensing requirements before purchase.

12.2 Third-Party Services

Your project may integrate with:

  • Payment gateways (MPESA, etc.)
  • Email marketing platforms
  • Analytics tools
  • Social media platforms

These services have their own terms, which you must accept separately.


13.1 Client-Provided Content

You warrant that:

  • You own or have licensed all content you provide
  • Content does not infringe on third-party rights
  • You have permission to use any images of people or brands

We are not liable for:

  • Copyright claims arising from content you provide
  • Third-party claims against your website content
  • Your use of the website in violation of laws

You agree to indemnify us against any claims related to your content.


14. Hosting & Domain

14.1 Free Domain & Hosting

Our web design packages include:

  • Free 1 Year Domain Registration (Bronze, Silver, Gold)
  • Free 1 Year Hosting (Bronze, Silver, Gold)

Terms:

  • Domain is registered in your name/your company’s name
  • You are responsible for renewal fees after the first year
  • Hosting renewal is billed annually (approximately KES 8,000-15,000/year depending on package)

14.2 Hosting Responsibilities

We provide hosting as a service. We guarantee:

  • 99.9% uptime (excluding scheduled maintenance)
  • Regular backups
  • Security monitoring

We are not liable for:

  • Downtime caused by third-party providers
  • Data loss due to circumstances beyond our control
  • Hack attempts (though we implement security measures)

14.3 Domain Management

We can manage domain renewals on your behalf, but:

  • You are ultimately responsible for ensuring domain renewal
  • We are not liable for domain expiration if you don’t respond to renewal notices
  • Domain transfer requests require 7 days notice

15. Maintenance & Support

15.1 Included Maintenance

Each package includes:

  • Bronze: 1 month maintenance
  • Silver: 2 months maintenance
  • Gold: 3 months maintenance

Maintenance includes:

  • Security updates
  • Bug fixes
  • Minor content updates (up to 2 hours/month)
  • Uptime monitoring

15.2 Ongoing Maintenance Plans

After the included period, we offer:

15.3 What Maintenance Does NOT Include

16. Confidentiality

We respect your business confidentiality:

  • We will not disclose your project details, strategies, or proprietary information to third parties
  • We may discuss your project publicly (without revealing confidential information) for portfolio purposes
  • We may share anonymized data for case studies

We expect the same respect for our proprietary methods and tools.


17. Limitation of Liability

To the maximum extent permitted by Kenyan law:

17.1 No Liability for Business Loss

We are not liable for:

  • Loss of revenue or profits
  • Business interruption
  • Loss of data (though we maintain backups)
  • Indirect or consequential damages

17.2 Liability Cap

Our total liability to you shall not exceed:

  • The total amount paid by you for the specific project, or
  • KES 100,000, whichever is lower

17.3 Third-Party Services

We are not liable for issues caused by:

  • Third-party platforms (WordPress, Shopify, etc.)
  • Payment gateway failures
  • Internet infrastructure issues
  • Hosting provider outages

18. Indemnification

You agree to indemnify and hold Tasflex harmless from any claims, damages, or expenses arising from:

  • Content you provide that infringes third-party rights
  • Your breach of these Terms
  • Your use of the website in violation of laws
  • Claims related to your products or services sold through the website

19. Termination

19.1 Termination by Client

You may terminate a project by:

  • Providing written notice
  • Paying for work completed up to termination date
  • Deposit is non-refundable

19.2 Termination by Tasflex

We may terminate a project if:

  • Payment is not received within 30 days of due date
  • Client fails to provide content/feedback for 30+ days
  • Client engages in abusive or unprofessional conduct
  • Client requests work that violates laws or ethical standards

19.3 Effect of Termination

Upon termination:

  • You pay for work completed to date
  • We deliver completed work upon full payment
  • Unpaid invoices become immediately due

20. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including:

  • Internet outages or technical failures
  • Power outages
  • Natural disasters
  • Government actions
  • Pandemics or public health emergencies
  • Civil unrest or strikes

We will notify you of such events and resume work as soon as reasonably possible.


21. Dispute Resolution

21.1 Informal Resolution

If a dispute arises:

  • Contact us immediately to discuss the issue
  • We commit to responding within 5 business days
  • Most disputes can be resolved through communication

21.2 Mediation

If informal resolution fails:

  • Both parties agree to attempt mediation before legal action
  • Mediation to be conducted in Nairobi, Kenya
  • Costs shared equally between parties

21.3 Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Kenya. Any legal actions shall be brought exclusively in the courts of Nairobi, Kenya.


22. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Kenyan courts.
